Terms of Service

1. Acceptance of Terms

By accessing or using the AlterURL platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

You represent that you are at least 18 years of age or the age of legal majority in your jurisdiction. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

AlterURL provides context-aware URL redirection, link management, and analytics tools. We allow users to create "Redirect" that route traffic based on various factors including geography, device type, and referral source.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and accept all risks of unauthorized access.
• Promptly notify us if you discover or suspect any security breaches related to the Service.

You are solely responsible for all activities that occur under your account. We reserve the right to remove or reclaim usernames at any time and for any reason.

4. Fees and Payment

Certain aspects of the Service may be provided for a fee. If you elect to use paid features, you agree to the pricing and payment terms listed on our website.

All fees are exclusive of taxes, and you are responsible for payment of all such taxes. Payments are non-refundable except as required by law or explicitly stated in our Refund Policy. Subscription fees are billed in advance on a monthly or annual basis.

4.1 Subscription Period

Paid account plans are charged at the rate stated at the time of your initial purchase on a recurring basis corresponding to the term of your subscription (monthly or annual) until you cancel.

Fees are subject to change. AlterURL will notify you of any changes to our pricing at least 30 days in advance. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.

You may cancel your paid account subscription at any time; however, unless required by law, no refunds or credits will be provided for early termination or non-use of the Service. AlterURL reserves the right to update, change, modify, or terminate your subscription benefits at any time at its sole discretion.

4.2 Payment

If you choose a paid plan, you agree to pay AlterURL the fees for the subscription plan and billing cycle you select. Payments are due at the start of each billing period unless stated otherwise.

By adding a payment method to your account, you authorize AlterURL (or its payment processor) to automatically charge your payment method on a recurring basis for your subscription until you cancel it. You are responsible for ensuring your payment details are accurate and up to date.

If a payment cannot be processed, AlterURL may suspend or limit your access to paid features until payment is successfully completed. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period unless otherwise stated.

AlterURL may update available payment methods or billing processes from time to time. It is your responsibility to keep your billing information current to avoid service interruptions.

4.3 Taxes

Subscription fees do not include taxes. You are responsible for paying any applicable taxes, duties, or government charges related to your purchase or use of the AlterURL Services, unless AlterURL is required by law to collect them.

If AlterURL is required to collect taxes, they will be added to your invoice or charged at checkout where applicable. If you are legally required to withhold taxes from payments to AlterURL, you agree to provide reasonable documentation showing that such taxes were paid to the relevant tax authority.

4.4 Refund Policy

You may cancel your paid subscription at any time through your AlterURL account settings. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew and no further charges will be made.

You have the right to withdraw from your initial purchase within 14 days of the purchase date without penalty and without giving any reason (the "Refund Window"). To exercise this right, contact us at reachus@alterurl.com with your account email, transaction ID, and the reason for your request before the Refund Window expires.

When Refunds May Be Declined

AlterURL may decline a refund request in the following cases:

• Refunds will not be granted after the applicable 14-day refund window has expired.
• Refunds are only available for the initial subscription purchase and do not apply to payments resulting from the automatic renewal of the subscription.
• Suspected refund abuse, license misuse, or fraudulent activity, including excessive refund requests from a single user or attempts to retain and use the product after a refund has been processed.

Refund Processing

If a refund is approved, it will be processed to your original payment method and should appear on your credit card statement within 7–10 business days, depending on your bank or payment provider.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Creating links to malicious content, malware, phishing sites, or deceptive content.
• Interfering with the security-related features of the Service.
• Using automated systems (bots, crawlers) to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce.
• Spamming or sending unsolicited communications using our redirected URLs.

6. Term and Termination

6.1 Term

This Agreement begins on the date you accept it by creating an account or purchasing a paid subscription (the "Effective Date") and continues until terminated in accordance with this section.

If you purchase a paid plan, the Agreement will remain in effect for the duration of the subscription term you selected (the "Initial Term"), unless terminated earlier as permitted herein.

If your subscription is set to automatically renew, it will renew for additional terms of the same length as the Initial Term (each a "Renewal Term"), or for a shorter period if required by applicable law, unless you cancel your subscription before the next billing cycle.

The "Term" includes the Initial Term and any Renewal Terms.

6.2 Right to Terminate

You may terminate your subscription at any time during the Term by canceling it through your account settings.

However:

• You will not receive a refund or reimbursement for the then-current billing cycle or any prior billing cycles, except where required by applicable law
• Termination becomes effective at the end of the active billing period

Upon expiration or termination of this Agreement:

• All rights and access granted to you under the subscription will automatically terminate
• You must cease use of paid features
• Any provisions which by their nature should survive termination shall survive

If AlterURL discontinues a Service or is otherwise unable to continue providing it, you will be entitled to a pro-rata refund of any prepaid Subscription Fees for the remaining unexpired portion of your subscription term. In no event shall such refund exceed the total Subscription Fees you have already paid.

7. Intellectual Property

7.1 Ownership

AlterURL owns all rights, title, and interest in the AlterURL Services and everything that makes them work. This includes all software, technology, documentation, databases, source code, designs, visual elements, content, tools, processes, inventions, know-how, and any improvements or updates to them (collectively, the "AlterURL Materials").

These Terms do not transfer ownership of the AlterURL Materials to you. Other than the limited, non-exclusive, and revocable right to use the Services as described in these Terms, no rights are granted to you. All rights not expressly granted remain with AlterURL. Your content remains yours.

7.2 Feedback

If you share feedback, ideas, feature requests, or suggestions about the AlterURL Services, you agree that AlterURL may use them without restriction and without compensation to you. AlterURL will own all rights in such feedback and may use, modify, or incorporate it into the Services or other products at its discretion.

7.3 Acceptable Use and Restrictions

You agree not to, and not to allow others to:

• Use the AlterURL Services or any related data to build, operate, benchmark, or support a competing or substantially similar URL-shortening or link management service.
• Copy, modify, distribute, sell, sublicense, lease, or otherwise make the AlterURL Services available to third parties, except as expressly permitted under these Terms.
• Reverse engineer, decompile, disassemble, scrape, mirror, or attempt to discover the source code or underlying structure of the AlterURL Services.
• Use the AlterURL Services to send or distribute unlawful, infringing, deceptive, harmful, abusive, or malicious content.
• Access the AlterURL Services using unauthorized or automated methods, bypass security measures, or interfere with the performance or integrity of the Services.
• Remove, alter, or hide any copyright, trademark, or other proprietary notices or branding included in the AlterURL Services.

7.4 Enforcement

If you violate or threaten to violate this section, AlterURL may immediately suspend or terminate your access to the Services. AlterURL may also seek legal or equitable remedies, including injunctive relief, to protect its rights and prevent further misuse of the Services.

8. Limitation of Liability

In no event shall AlterURL Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
